Terms of Service

1. Acceptance of Terms

By accessing or using Talkeando! ("Service"), available at app.talkeando.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Talkeando! is a real-time AI speech translation platform that enables operators to:

• Stream live speech through an AI pipeline that transcribes, translates, and synthesizes audio
• Create private translation rooms sharable via link or QR code
• Deliver translated audio to unlimited simultaneous listeners in their browser
• Translate across 50+ languages in under 5 seconds end-to-end

The Service is provided "as is." We make no guarantees about translation accuracy, uptime, or fitness for any particular purpose.

3. User Accounts

3.1 Account Creation

Accounts are created and managed through Clerk, our authentication provider. You agree to:

• Provide accurate and complete registration information
• Keep your credentials secure
• Notify us immediately of any unauthorized access at support@talkeando.com
• Be responsible for all activity that occurs under your account

3.2 Account Suspension & Termination

We reserve the right to suspend or terminate your account for violation of these Terms, abusive use of the Service, fraudulent billing activity, or any other reason at our sole discretion with or without prior notice.

4. Acceptable Use

4.1 Permitted Use

• Live translation for churches, conferences, classrooms, and business meetings
• Personal and professional communication requiring language bridging
• Any lawful purpose consistent with the spirit of the Service

4.2 Prohibited Use

You agree NOT to:

• Use the Service for illegal, harmful, or harassing activities
• Transmit hate speech, explicit content, or content that violates third-party rights
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Automate usage to circumvent minute limits or billing controls
• Resell or sublicense access to the Service without written consent
• Attempt unauthorized access to our systems or other users' data
• Use the Service in a manner that interferes with its normal operation

5. Subscriptions, Minutes & Payments

5.1 Service Tiers

Usage is measured in translation minutes (time the operator is actively recording and translating). We offer the following plans:

Minutes reset on your monthly billing anniversary. Unused subscription minutes do not carry over to the next period.

5.2 Additional Minutes

You may purchase additional minute packs at any time, independent of your subscription:

• 50 minutes — $29.99 (one-time)
• 100 minutes — $50.00 (one-time)

Purchased minutes do not expire and are consumed after your monthly subscription minutes are exhausted.

5.3 Billing & Payment Processing

All payments are processed by Stripe. By subscribing or purchasing, you:

• Authorize us to charge your payment method via Stripe on a recurring (subscriptions) or one-time (minute packs) basis
• Acknowledge that we never store your card number — all payment data is tokenized and held by Stripe
• Accept that subscription fees are billed in advance at the start of each billing period
• Understand that prices may change with 30 days advance notice

5.4 Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. Subscription fees are non-refundable except where required by applicable law. Purchased minute packs are non-refundable once any minutes have been consumed.

6. Intellectual Property

6.1 Our Rights

All software, interfaces, branding, AI pipeline logic, and documentation of Talkeando! are owned by us and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain full ownership of the speech you transmit. By using the Service, you grant us a limited, non-exclusive license to process your audio and derived text solely to deliver the translation service. We do not claim any ownership over your content.

7. Privacy & Data

Your use of the Service is governed by our Privacy Policy. Key commitments:

• Audio is streamed and processed in real-time — it is never permanently stored
• All connections are encrypted (HTTPS/WSS)
• Authentication is handled by Clerk; payments by Stripe — we never store passwords or card data
• We do not sell your personal information
• You may request deletion of your account and data at any time

8. Disclaimers & Limitations

8.1 Translation Accuracy

We strive for high accuracy but cannot guarantee perfect translation in all conditions. Factors including background noise, accents, technical terminology, and AI model limitations may affect output quality.

Do not use Talkeando! as the sole means of communication in contexts where translation errors could cause harm, legal liability, or financial loss (e.g., medical consultations, legal proceedings, emergency communications).

8.2 Service Availability

We do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, third-party provider outages, or circumstances beyond our control. We will not be liable for any losses arising from service interruptions.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALKEANDO! AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

9. Indemnification

You agree to indemnify and hold harmless Talkeando! and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Content you transmit through the Service

10. Third-Party Services

The Service integrates with the following third parties, each governed by their own terms and privacy policies:

• Clerk — authentication and identity
• Stripe — payment processing
• DeepL — text translation
• AI Speech & TTS Providers — transcription and voice synthesis
• DigitalOcean — cloud hosting

We are not responsible for the availability, accuracy, or practices of these third-party services.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes that cannot be resolved informally shall be submitted to binding arbitration in Miami, Florida, except where prohibited by law.

12. General Provisions

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Talkeando!
• Severability: If any provision is found unenforceable, the remaining provisions stay in effect
• Waiver: Our failure to enforce any right is not a waiver of that right
• Assignment: You may not transfer these Terms without our written consent; we may assign our rights freely
